Effective date: 26 July 2026 (first issued 30 May 2026). Last revised: 28 October 2026. These are the current published terms for Carbon Trader® website and platform use.
Part 19 - Fee Schedule and Billing Terms
1. Fee schedule administration
Carbon Trader may maintain an admin-managed fee schedule. Fees may vary by credit type, transaction type, service level, listing type and settlement pathway.
2. Brokered and managed sales - withdrawn
From 7 October 2026 Carbon Trader no longer acts as a broker, runs managed or forestry sale programmes, or sells NZUs on a client's behalf. The brokered-sale, forestry managed-sale programme and managed NZU sale fees that previously appeared in sections 2, 2A and 2B are withdrawn and are no longer quoted or charged. Sellers list their own units on the marketplace; the marketplace fees in the published schedule apply.
2C. Marketplace listing fee and success fee
From 9 October 2026 the fee for a marketplace listing of NZUs is NZD $29.00 including GST, payable by the seller. The self-service marketplace success fee that previously applied to marketplace trades, together with its minimum fee and fee cap, is withdrawn and is no longer quoted or charged. No success fee and no buyer fee is payable: the buyer pays only the price of the units. From 28 October 2026 a seller who sells with escrow pays the escrow fee in section 2D from the sale proceeds; a seller who sells directly pays no escrow fee.
Extending a listing, or relisting the same units, carries no further listing fee until those units sell. A new listing carries a new listing fee. Posting a wanted request (buy request) is free.
The listing fee is invoiced when the listing is published: for units sold from a Carbon Trader wallet, on publication, and for units held in the seller's own NZETR account, when proof of the units is confirmed and the listing is published. The invoice is payable by bank transfer using the reference on the invoice. Publication does not depend on payment of the invoice. A listing that is never published is not invoiced. The listing fee is not deducted from sale proceeds.
2D. Escrow fee
From 28 October 2026 escrow is optional, and the seller chooses for each listing whether it sells with escrow or directly. A seller who sells with escrow pays an escrow fee of NZD $159.00 plus GST (NZD $182.85 including GST) on each completed sale. The escrow fee attracts GST at 15% and is deducted from the sale proceeds before they are paid to the seller. The buyer pays only the price of the units.
One escrow fee applies to each completed sale whatever its size. Each purchase from a listing is a separate sale, so a listing sold in parts to several buyers carries the escrow fee on each sale. A buyer who posts a wanted request pays the full offer into escrow when funding it and pays no escrow fee; a seller who sells into a wanted request pays the escrow fee from the proceeds of that sale. A sale whose value is less than the escrow fee cannot be made through escrow.
No escrow fee is charged on a sale that does not complete, including where the buyer does not pay or the sale is cancelled, or on a direct sale. Listings created before 28 October 2026 settle through escrow with no escrow fee, because they were listed on those terms. This section replaces the version of section 2D dated 27 October 2026, under which the buyer paid the escrow fee on every trade.
3. Fee examples
The fee estimator prices any published item for a given trade value and quantity. From 28 October 2026 a marketplace sale carries the listing fee in section 2C, paid by the seller, and no success fee or buyer fee. A sale with escrow also carries the escrow fee in section 2D, paid by the seller from the proceeds; a direct sale carries no escrow fee.
For example, a seller who sells 1,000 NZUs at NZD $50.00 each through escrow in one sale receives NZD $50,000.00 less the escrow fee of NZD $182.85 including GST, that is NZD $49,817.15, and the buyer pays NZD $50,000.00. The listing fee of NZD $29.00 is invoiced to the seller separately when the listing is published. If the same 1,000 NZUs sell to two buyers in two sales of 500, each sale carries the escrow fee. If the seller sells directly, the buyer pays the seller NZD $50,000.00 and no escrow fee applies.
4. Tranches
From 9 October 2026 no success fee, minimum fee or fee cap applies to a marketplace sale, whether the units in a listing sell in one trade or in several. One listing fee under section 2C covers a listing however many trades it takes to sell. Where a listing sold with escrow sells in several sales, the escrow fee in section 2D applies to each completed sale.
5. Subscriptions and data plans - withdrawn
From 28 October 2026 the Corporate Starter, Corporate Pro and Enterprise subscriptions and the Market data Pro and Market data Enterprise plans are withdrawn and are no longer quoted or charged. The market data, calculators and emission factor lookup on the website remain free to use. If a subscription is offered again, its fee may be charged monthly, annually or as otherwise agreed, and Carbon Trader may suspend access for non-payment.
5A. Verification, review, evidence, reservation and registry services - withdrawn
From 28 October 2026 the fees for standard and enhanced supplier verification, standard and enhanced project due diligence, the Carbon Trader Quality Score and enhanced quality review, the claim-suitability preview and review, the enterprise claim policy review, and the basic and assurance-grade evidence packs are withdrawn and are no longer quoted or charged. A completed trade's settlement statement remains available to both parties at no charge. Identity verification and other customer due diligence under the AML/CFT and KYC Statement are not affected and carry no fee.
From the same date the inventory reservation and reservation break fees, the registry transfer support fee and the retirement or cancellation instruction fee are withdrawn and are no longer quoted or charged. Carbon Trader does not reserve inventory for buyers or retire or cancel units on a customer's behalf. Withdrawing units from a Carbon Trader wallet to the customer's own NZETR account carries no fee; delivery towards a surrender carries the surrender delivery support fee in section 8A.
6. API overages - withdrawn
From 28 October 2026 Carbon Trader does not offer the Enterprise API (clause 22 of the Standard Terms), so API and webhook overages are withdrawn and are no longer quoted or charged. Export and data overages, if any, are charged according to the active fee schedule.
7. Pass-through costs
Pass-through costs may include bank charges, registry fees, foreign exchange costs, legal costs, tax adviser costs, specialist adviser costs, third-party due diligence costs and external data provider charges.
Card payment is not available. A purchase with escrow and a wanted request are funded by bank transfer against a Carbon Trader invoice, which carries no payment surcharge, so no card processing surcharge applies. In a direct sale the buyer pays the seller directly, as the two of them arrange, and Carbon Trader does not handle the payment.
8. GST
The marketplace listing fee in section 2C is stated including GST. The escrow fee in section 2D is NZD $159.00 plus GST at 15%, NZD $182.85 including GST, and the GST-inclusive amount is deducted from the sale proceeds. Unless stated otherwise, other fees are exclusive of GST and Carbon Trader platform fees attract GST at 15%, added at invoicing. Transfers of New Zealand Units themselves are zero-rated for GST under sections 11A(1)(s)-(w) of the Goods and Services Tax Act 1985 (see Inland Revenue interpretation statement IS 25/13); Carbon Trader charges no GST on the NZU consideration.
8A. Service fees introduced July 2026
The following service fees were added to the published schedule and are invoiced through Carbon Trader's standard service-invoice process (GST at 15% added at invoicing):
- Surrender delivery support: NZD $150 plus $0.01 per unit, capped at NZD $750 per delivery, plus registry pass-through charges. Execution and logistics only; not advice.
- The My Forest Pro subscription, the consultant client seat, the My Obligations compliance pack and the staged sale tranche fee that previously appeared in this section are withdrawn from 7 October 2026 and are no longer quoted or charged. The forest, farm and obligations dashboards are part of Carbon Tracker®, a separate product that publishes its own pricing, and Carbon Trader no longer runs staged sales (clause 14 of the Standard Terms).
9. Change history
- 28 October 2026 (second update) - section 5: the corporate subscriptions and market data plans withdrawn; section 5A added: supplier verification, project due diligence, quality score, claim review, evidence pack, inventory reservation, reservation break, registry transfer support and retirement instruction fees withdrawn; section 1 shortened to match.

- 17 August 2026 - non-circumvention added at clause 26A of the Standard Terms. No published price changed.
