Fee Schedule and Billing Terms

Fees, billing, GST, pass-through costs, managed settlement fees, transaction caps and subscription terms.

Part 19 - Fee Schedule and Billing Terms

1. Fee schedule administration

Carbon Trader may maintain an admin-managed fee schedule. Fees may vary by credit type, transaction type, corridor, service level, subscription, enterprise plan, listing type, due diligence level, settlement pathway, evidence pack and claim review.

2. Fees for standard NZU managed sale

For standard brokered NZU sales:

  • brokered sale success fee: 0.65% of gross sale value;
  • minimum brokered sale fee: NZD $350 per completed sale or tranche;
  • fee cap: NZD $12,500 per completed sale or tranche;
  • managed settlement fee: NZD $450 per completed sale or tranche where Carbon Trader manages settlement;
  • GST: additional where applicable;
  • external costs: charged at cost where applicable and agreed.

3. Fee examples

If 3,142 NZUs are sold at NZD $50 per NZU:

  • gross sale value: NZD $157,100.00;
  • 0.65% success fee: NZD $1,021.15;
  • managed settlement fee: NZD $450.00;
  • Carbon Trader fees excluding GST: NZD $1,471.15;
  • GST at 15%: NZD $220.67;
  • total Carbon Trader fee invoice including GST: NZD $1,691.82.

4. Tranches

If a holding is sold in tranches, the success fee, minimum fee, fee cap and managed settlement fee apply per completed sale or tranche unless Carbon Trader agrees in writing to aggregate multiple fills as one coordinated transaction.

5. Subscriptions and data plans

Subscription fees may be charged monthly, annually or as otherwise agreed. Carbon Trader may suspend access for non-payment.

6. API overages

API overages, webhook overages, export overages and data overages may be charged according to the active fee schedule.

7. Pass-through costs

Pass-through costs may include bank charges, registry fees, payment processing fees, foreign exchange costs, legal costs, tax adviser costs, specialist adviser costs, third-party due diligence costs and external data provider charges.

8. GST

Unless stated otherwise, fees are exclusive of GST. Carbon Trader may add GST where required.
