Part 4 - Buyer, Escrow and Settlement Terms
1. Standard settlement pathway
Carbon Trader-managed escrow is Carbon Trader’s standard settlement pathway for brokered NZU transactions.
2. Buyer funding
The buyer must pay cleared funds into Carbon Trader’s designated escrow / client settlement account by the due date and in the amount stated in the sale confirmation.
3. Seller transfer
Once cleared funds and settlement conditions are confirmed, Carbon Trader instructs the seller or authorised NZETR representative to transfer the agreed NZUs through the NZETR in accordance with settlement instructions.
4. Carbon Trader NZETR custody
Where the sale confirmation requires it, NZUs may be transferred to Carbon Trader’s NZETR account as part of managed escrow. Carbon Trader will then complete onward transfer to the buyer in accordance with the sale confirmation.
5. Release of proceeds
Carbon Trader releases net sale proceeds to the seller after settlement conditions are satisfied. Agreed fees and pass-through costs may be deducted or invoiced.
6. Buyer default
If a buyer does not pay cleared funds by the required time, the seller is not required to transfer NZUs. Carbon Trader may cancel, extend or refer the transaction back to the seller. The buyer may be liable for costs, fees or other consequences stated in the sale confirmation.
7. Seller default
If the seller does not transfer NZUs after buyer funds are received, Carbon Trader will not release the funds to the seller. Carbon Trader may pause, cancel, extend or otherwise manage the transaction under the sale confirmation and these Terms.
8. Disputes and holds
Carbon Trader may hold funds or credits where there is a dispute, suspected fraud, AML/CFT concern, sanctions issue, registry issue, bank recall, court order, regulator request, cyber incident, identity concern or conflicting instruction.
9. No unauthorised access
Carbon Trader will not ask for the seller’s NZETR login credentials or RealMe credentials.
10. Completion statement
After completion, Carbon Trader may issue a completion statement showing transaction details, fees, GST, pass-through costs, net proceeds and evidence references.
